Summary of position:

Reporting to the Executive Chairman of the Board (ECOB), the Vice President will lead the Business Development and M&A strategy and the high level planning, due diligence, integration and alignment of future acquisitions and transformation projects within the corporation.
This is an excellent opportunity for a focused leader who has hands on experience implementing best practices and governance framework for the integration and operationalization of acquisitions and company initiatives.

Main responsibilities:

The Vice President will lead the implementation of the Business Development and M&A strategy and support development opportunities to continue to grow Héroux Devtek's business and reach. You will have the opportunity to lead all phases of strategic acquisitions including: identification of targets, early analysis and screening, structuring and valuation, due diligence, contract negotiations, deal closing and integration planning. You'll also continuously guide and accompany the leadership team in the integration of acquisitions and the implementation of strategic initiatives for the company.

Actively involved in the business strategy, you will work closely with the ECOB, CEO, CFO and our senior management team to define and execute strategic priorities for Héroux-Devtek Inc.

You are an expert relationship builder, rigorous on financial matters, tactful in negotiations and able to offer a keen understanding of factors impacting P&L.

You will assume the following responsibilities:

 Provide expertise to identify deal prospects & targets, maintain a pipeline of strategic investment targets and manage multiple deals at a time;
 Lead the development of business cases, sophisticated financial projections, analysis and valuation of potential significant business opportunities including acquisitions and divestitures;
 Ensure proposed deals and structures align with the company's strategic plan and risk appetite and help verify valuation assumptions;
 Lead all aspects of deal processes and support the Corporate Development team through all stages of strategic transactions, including identification of targets, analysis and valuation, due diligence, negotiation and post-acquisition integration planning;
 Lead and coordinate cross functional teams as appropriate (legal, finance, HR, IT etc.) and manage work streams and project teams on each deal;
 Develop relationships and negotiate with external stakeholders, including target companies, investment bankers and M&A advisors;
 Work closely with the legal team and external advisors to document transaction agreements;
 Oversee the development of Héroux-Devtek’s long term strategic plan and financial planning;
 Review and maintain financial modeling for strategic alignment;
 Lead the preparation and presentation of findings and analysis to executive leaders;
 Develop and maintain strong relationships with executives from target companies during the initial evaluation and due diligence phases of a transaction.

Qualifications:

 Bachelor's Degree in Finance or Accounting; advanced degree or MBA preferred OR hold a university degree related to the opportunity;
 10+ years related experience, including leading all aspects of M&A transactions in a corporate environment within a merger and acquisition department and/or within a merger and acquisition group for a CPA, an advisory/investment banking firm ;
 Excellent people skills, ability to work successfully in a team environment at all levels;
 Bilingual (French/English) and possesses exceptional communication skills – both written and verbal – with comfort interfacing with Executives, senior business leaders and Board members;
 Strong project management skills and ability to drive multiple priorities;
 Proficiency in Excel and financial analysis techniques, PowerPoint and senior management reporting;
 Strong attention to details and ability to work in a self-directed manner; must be autonomous and self-sufficient;
 Flexible; able to adapt quickly and successfully to change while maintaining poise and executive presence;
 Results driven; experience in a fast-paced environment;
 Strong people management skills, proactive and collaborative;
 Strategic and business mindset with ability to think broadly; develop analytical frameworks; outstanding quantitative, financial and analytical skills.
